1. Parties and Subject

This agreement applies between WSBH and the agency using the WSBH platform ("User" / "Agency"). The platform is a software service providing appointment, document, form, communication and related operations modules.

2. Personal Data — Agency Liability

The agency accepts that it is the data controller under applicable data protection law for all personal data entered or collected via the platform.

The agency declares that it obtains and maintains all required explicit consents, notices and legal bases from customers, applicants and third parties, and that such consents are valid, documented and kept up to date.

All data protection obligations — including notices, consent, security, breach notification, data subject requests, fines and third-party claims — are exclusively the agency's responsibility. WSBH is not the data controller for agency customer data and does not assume data protection liability for it.

WSBH only provides technical processing on the agency's instructions. The agency is liable for any data protection breach, missing consent or unlawful processing and shall indemnify WSBH accordingly.

3. Use of Service

The agency uses the platform only for lawful purposes and respects customers' rights. Unauthorized access, data leaks or abuse may result in account termination.

4. Limitation of Liability

WSBH provides the service "as is"; content and legal compliance of agency customer data are the agency's responsibility. WSBH's liability is limited to direct foreseeable damages; regulatory fines and customer claims are excluded.

5. Effect

Agency registration and use constitute acceptance. WSBH may update these terms; the current text is published on the website.

6. Intellectual Property

Platform software, interface, brand, documentation and all intellectual property rights belong to WSBH. The agency receives only a non-exclusive, non-transferable license for the contract term. Reverse engineering, copying or unauthorized sublicensing is prohibited.

7. Subscription and Payment

Platform access is subject to subscription or usage plans. Fees, periods and payment methods are stated at registration or in the panel. Late payment may suspend service. Crypto (USDT) payments are verified via blockchain records.

8. Confidentiality and Indemnity

The agency protects confidential information of WSBH and third parties. The agency indemnifies WSBH against all claims, fines, damages and costs (including reasonable legal fees) arising from data protection breaches, missing consent, unauthorized data sharing or breach of these terms.

9. Suspension and Termination

WSBH may suspend or terminate accounts for legal non-compliance, late payment, security risk or suspected abuse. The agency may close its account at any time; data export before closure is the agency's responsibility.

10. Disputes and Jurisdiction

For agency use, these terms are governed by the laws of Switzerland. Parties seek amicable resolution first; unresolved disputes are subject to the exclusive jurisdiction of the courts of Zurich, Switzerland.

11. Acceptance and Consent

By visiting the WSBH website (worksmartbehumble.com), creating an agency account or using the WSBH panel, you acknowledge that you have read, understood and accepted the Terms of Use, the Privacy Policy, the Data Protection Notice and the Cookie Policy.

You accept that your personal data will be processed for the purposes, on the legal bases and under the conditions described in these documents, and shared with the relevant service providers to the extent necessary to deliver the service. If you do not accept these documents, you should not use the website or the panel.
